Terms & Conditions

Effective Date: 8 October 2025

 

These Terms and Conditions (“Terms”) govern your access to and use of the Keenu platform, websites, applications, and related services (“Services”) provided by Keenu Ltd, a company registered in England and Wales (“Keenu”, “we”, “us”, “our”).

By accessing or using the Services, you (“User”, “School”, “Teacher”, or “Student”) agree to be bound by these Terms. If you do not agree, you must not use the Services.

 

1. Definitions
  • “Account” means an authorised account registered to access the Keenu Services.

  • “School” means any institution or organisation purchasing or using Keenu on behalf of its teachers and students.

  • “Student” means an individual learner who uses Keenu, whether invited by a School or registered directly.

  • “Teacher” means a staff member or representative of a School who manages or monitors Student activity.

  • “Subscription” means a paid plan granting access to Keenu’s Services under agreed conditions.

  • “Content” means any data, audio, text, or material uploaded or generated through Keenu.
     

 

2. Eligibility and Access

2.1. Eligibility:
Keenu may be used by students of any age as part of their school’s educational programme. Where a student is under 18, the school is responsible for ensuring that use of Keenu is appropriate and lawful in their jurisdiction.

For students under 13 years of age, the school (or, where applicable, a parent or legal guardian) must provide or manage the necessary consent for the student’s use of Keenu and for Keenu’s processing of the student’s data in accordance with the Privacy Policy.

By using the Services, the school confirms that it has obtained any required parental or guardian consent.

2.2. Account creation:

  • Schools and Teachers may register directly through Keenu.

  • Students may register by invitation from their School or, where available, independently.

  • Schools are responsible for ensuring all registration information is accurate and kept up to date.
     

2.3. Account security:
You must maintain the confidentiality of your account credentials (including OTP or secure login methods) and are responsible for all activity under your account.

2.4. Access management:
Keenu may manage or deactivate accounts at its discretion for maintenance, misuse, or security reasons.

 

3. Services Provided

3.1. Keenu provides AI-powered English language assessment and training tools for educational purposes.

3.2. Features may include automated scoring, feedback, performance analytics, teacher dashboards, and other related functionalities.

3.3. Keenu reserves the right to modify, enhance, or discontinue any feature or functionality at any time without prior notice.

 

4. Use of the Services

4.1. Users agree to use the Services only for lawful educational purposes.

4.2. Users must not:

  • Reproduce, distribute, or resell Keenu’s content or software;

  • Attempt to access unauthorised areas of the platform or interfere with its operation;

  • Reverse engineer, copy, or attempt to extract the source code or AI model;

  • Submit unlawful, harmful, or infringing content.

4.3. Schools and Teachers are responsible for monitoring their Students’ use of Keenu.

4.4. Keenu may suspend or terminate any account or Subscription immediately if it reasonably believes that misuse, non-payment, or a breach of these Terms has occurred.

 

5. Subscriptions, Fees, and Payments

5.1. Subscription plans:
Schools purchase access to Keenu via monthly or annual subscriptions processed through Stripe or other approved payment methods.

5.2. Free trials:
Keenu may offer a 30-day free trial or other promotional period. Unless cancelled before the end of the trial, subscriptions automatically renew under the applicable pricing plan.

5.3. Renewals and cancellation:
Subscriptions renew automatically each billing cycle unless cancelled. Access continues until the end of the paid period. Schools may cancel at any time by giving 30 days’ notice.

5.4. Refunds:
Payments are non-refundable except in the case of significant service failure directly attributable to Keenu.

5.5. Pricing:
Keenu reserves the right to change subscription fees at any time, with reasonable notice to existing customers.

5.6. Taxes:
All fees are exclusive of applicable taxes unless otherwise stated.

 

6. Ownership and Intellectual Property

6.1. All software, designs, AI models, question databases, trademarks, and other intellectual property relating to Keenu are the exclusive property of Keenu Ltd.

6.2. Users are granted a limited, non-exclusive, non-transferable licence to access and use the Services solely for educational and non-commercial purposes during the subscription term.

6.3. Users must not copy, modify, distribute, create derivative works of, or publicly display any part of the Keenu Services without prior written consent.

6.4. Keenu may display anonymised results or aggregated data for product improvement or marketing, without identifying individual users.

 

7. User Content

7.1. Students and Schools may upload or generate Content (such as voice recordings, transcripts, and text responses) when using the Services.

7.2. By submitting or creating Content, you grant Keenu a worldwide, royalty-free, non-exclusive licence to host, process, and use that Content for the purpose of:

  • operating and providing the Services to you and your School; and

  • training, testing, and improving Keenu’s AI models and related educational technologies.

7.3. Keenu may create anonymised or aggregated datasets derived from user Content. These datasets contain no personally identifiable information and may be used by Keenu for research, analysis, product development, or commercial purposes, including sale or licensing to third parties.

7.4. You remain the owner of your original Content. Keenu does not claim ownership of identifiable user submissions.

7.5. Users may share screenshots or excerpts from Keenu publicly, provided that Keenu is clearly credited and the material is not misrepresented as their own product or service.

 

8. AI and Educational Content Disclaimer

8.1. Keenu’s AI-generated feedback, scores, and recommendations are for educational and training purposes only.

8.2. Keenu is not affiliated with or endorsed by IELTS, Cambridge Assessment, Duolingo, or any official testing authority.

8.3. Keenu does not guarantee that any score, prediction, or feedback provided will correspond to official examination results.

 

9. Data and Privacy

9.1. Keenu processes personal data in accordance with its Privacy Policy, available at keenu.io/privacy.

9.2. By using the Services, you acknowledge and agree that your data may be processed and stored as described in that policy.

 

10. Termination

10.1. Termination by Keenu:
We may suspend or terminate any account immediately if you breach these Terms, fail to pay fees, or engage in misuse.

10.2. Termination by Schools:
Schools may terminate their subscription with 30 days’ written notice.

10.3. Effect of termination:
Upon termination, user access will end, and data may be retained or deleted in accordance with our Privacy Policy.

10.4. Keenu is not liable for any loss resulting from suspension or termination in accordance with these Terms.

 

11. Warranties and Disclaimers

11.1. Keenu provides the Services “as is” and “as available” without warranties of any kind, whether express or implied.

11.2. Keenu makes no guarantee that the Services will be uninterrupted, error-free, or meet your expectations.

11.3. All implied warranties, including those of fitness for a particular purpose and non-infringement, are excluded to the fullest extent permitted by law.

 

12. Limitation of Liability

12.1. To the maximum extent permitted by law, Keenu’s total liability for any claim arising out of or in connection with these Terms shall not exceed the total amount paid by the School for the Services in the 12 months preceding the event giving rise to the claim.

12.2. Keenu shall not be liable for:

  • indirect, incidental, consequential, or punitive damages;

  • loss of profits, data, goodwill, or business interruption;

  • errors or inaccuracies in AI-generated content.

12.3. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter where liability cannot legally be excluded.

 

13. Force Majeure

Keenu shall not be responsible for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, power failures, internet outages, labour disputes, or acts of government.

 

14. Amendments to the Terms

Keenu may amend these Terms from time to time. The updated version will be published on our website. Continued use of the Services after an update constitutes acceptance of the new Terms.

 

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
